P'tite Tête becomes an association

Great news: P'tite Tête is becoming a non-profit organization under the 1901 law.



This allows us to offer you subscriptions and services in the future.



STATUTES OF THE ASSOCIATION LAW 1901



Article 1 - NAME



An association governed by the law of July 1, 1901 and the decree of August 16, 1901, was founded, with the name: P'TITE TETE.



Article 2 - PURPOSE



The purpose of this association is to: Promote creative hobbies through videos, free tutorials, learning and exchange workshops, exhibitions or sales exhibitions, as well as the participation of its members in training courses or courses.



Article 3 - HEAD OFFICE



Its head office is located at the following address: 5 grande rue 21220 URCY.



The registered office may be transferred following a decision by the general meeting.



Article 4 – DURATION



Its duration is unlimited.



Article 5 - MEMBERS



To be a member of the association, you must be approved by the Office.



The association may be composed of several categories of members:



- the founding members who are at the origin of the creation of the association;



- honorary members who have rendered special services to the association. They are exempt from paying contributions;



- benefactor members who pay an entry fee and an annual subscription, the amounts of which are set each year by the general meeting;



- active members (or adherents) who undertake to pay an annual contribution, the amount of which is set each year by the general meeting;



- legal entities which may be public authorities, commercial companies, associations. They must appoint a legal representative.



Article 6 - RADIATIONS



Membership of the association is lost by:



-resignation;



-death;



- liquidation or dissolution for the legal entity;



- termination for non-payment of the subscription or for serious reasons by the general meeting. The member concerned is first called upon to provide explanations to the general meeting.



Article 7 - RESOURCES



The association's resources may consist of:



- annual contributions;



- public subsidies;



- manual donations and private aid;



- income from its assets and activities;



- all other resources authorized by the laws and regulations in force.



Article 8 - ORDINARY GENERAL MEETING



The ordinary general meeting includes all members of the association. Members must be up to date with their membership fees on the date of the meeting.



It meets annually. Invitations to attend the association's members and the agenda are sent at least 15 days before the scheduled date.



The president, assisted by the office, chairs the meeting and presents the situation of the association.



The meeting approves the accounts for the closed financial year, decides on the allocation of results and deliberates on the issues on the agenda.



It proceeds to the election of the members of the management body (the Board of Directors).



All decisions are taken by a show of hands, except for the election of members of the board of directors, which is held by secret ballot. Decisions are taken by an absolute majority (half plus one vote) of the members present or represented. In the event of a tie, the chairman has the casting vote.



Article 9 - EXTRAORDINARY GENERAL MEETING



The president may call an extraordinary general meeting, in accordance with the terms set out in these statutes and only for the amendment of the statutes or dissolution.



The convening procedures are the same as for the ordinary general meeting.



Decisions are taken by an absolute majority of votes cast. In the event of a tie, the President has the casting vote.



Article 10 - OFFICE



The general assembly elects from among its members an office composed of:



- a president



- a co-president



The functions cannot be combined.



The functions of a member of the office terminate automatically if, during his term of office, he ceases to be a member of the board of directors.



Article 11 - RESPONSIBILITIES OF THE OFFICE AND ITS MEMBERS



The board ensures the day-to-day management of the association. It meets as often as the interests of the association require, upon the invitation of the president.



The president represents the association alone in all acts of civil life and is vested with all powers to this effect. He is entitled to take legal action on behalf of the association.



The Vice-President assists the President in the exercise of his functions and replaces him in the event of his being unable to act.



The functions of a member of the office are not remunerated.



Article 12 - INTERNAL RULES



Internal regulations may be established by the general meeting. These regulations are intended to establish various points not covered by these statutes, in particular those relating to the internal administration of the association.



Article 13 - DISSOLUTION



In the event of dissolution, one or more liquidators are appointed, and the assets, if any, are transferred in accordance with the decisions of the extraordinary general meeting which decides on the dissolution.
